End User License Agreement (EULA) for try-my-guy.com

Effective Date: February 1, 2026

This End User License Agreement ("EULA" or "Agreement") is a legally binding contract between you ("User," "you," or "your") and try-my-guy.com, operated by try-my-guy.com (Benyamin Kornblith), a sole proprietorship located in Tsur Hadassa, Jerusalem, Israel ("we," "us," "our," or "try-my-guy.com"). This EULA governs your access to and use of the try-my-guy.com platform, including the website located at https://try-my-guy.base44.app (the "Site"), any associated mobile applications, services, features, tools, and content (collectively, the "Services").

By accessing or using the Services, creating an account, or otherwise engaging with try-my-guy.com, you acknowledge that you have read, understood, and agree to be bound by this EULA, our Privacy Policy (incorporated herein by reference), and any additional terms or policies we may provide. If you do not agree to these terms, you must immediately cease all use of the Services.

We reserve the right to modify this EULA at any time, with or without notice. Your continued use of the Services after any changes constitutes your acceptance of the modified terms. It is your responsibility to review this EULA periodically for updates.

1. Description of Services

try-my-guy.com is a platform designed for small business owners ("Business Users") to create customized mini-sites containing business information (e.g., hours of operation, services, contact details, photos, maps, and testimonials). Business Users can generate a unique shareable link to distribute to existing customers for soliciting reviews. Upon submission of a qualifying positive review (as determined solely by our algorithms and policies), and provided the reviewer is not already an affiliate for a competing business in the same sub-category, the reviewer may receive their own affiliate link to share. Affiliates earn rewards (e.g., commissions, discounts, or other incentives set by the Business User) only upon successfully referring new paying customers to the Business User.

The Services are provided on an "as-is" basis and are intended solely for lawful, non-commercial facilitation of customer referrals. We do not guarantee any specific outcomes, such as increased business, review quality, or affiliate performance. Additional features, such as real estate selection tools, may be introduced in future updates but are not part of the current Services unless explicitly stated.

2. Eligibility and User Accounts

To use the Services, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. You represent and warrant that all information you provide during registration or use is accurate, complete, and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You must notify us immediately of any unauthorized access or use. We reserve the right to suspend, terminate, or restrict your account at any time, for any reason or no reason, without liability.

Business Users and affiliates must comply with all applicable laws, including those related to consumer protection, data privacy, anti-spam, and taxation. You acknowledge that you are solely responsible for any taxes, fees, or regulatory obligations arising from your use of the Services.

3. License Grant and Restrictions

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes only.

You may not:

• Modify, reverse-engineer, decompile, or disassemble any part of the Services;
• Use the Services for any illegal, fraudulent, or unauthorized purpose;
• Interfere with the operation of the Services or any user's enjoyment thereof;
• Upload, post, or transmit any content that is defamatory, obscene, infringing, harmful, or violates third-party rights;
• Automate interactions with the Services (e.g., via bots, scripts, or scraping);
• Resell, rent, lease, or commercialize the Services without our express written consent;
• Circumvent any technical measures we implement for security or access control.

We may monitor your use of the Services to ensure compliance and protect our interests.

4. User Content and Reviews

You retain ownership of any content you submit, post, or upload to the Services ("User Content"), such as business information, photos, reviews, or affiliate links. However, by submitting User Content, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, distribute, display, and create derivative works of such User Content for any purpose, including promoting the Services, without compensation to you.

You represent and warrant that: (i) you own or have the necessary rights to User Content; (ii) User Content does not infringe any third-party rights; and (iii) User Content complies with all applicable laws.

We are not responsible for User Content and do not endorse any reviews, opinions, or information therein. We reserve the right (but have no obligation) to review, edit, remove, or block User Content at our sole discretion, without notice or liability.

Business Users are solely responsible for verifying referrals, tracking new customers, and disbursing rewards. We do not handle payments, verify claims, or mediate disputes between Business Users and affiliates.

5. Intellectual Property

All rights, title, and interest in the Services, including software, designs, logos (including the try-my-guy.com logo), trademarks, copyrights, and other intellectual property ("IP"), are owned exclusively by us or our licensors. You may not use our IP without our prior written permission. Any unauthorized use may result in immediate termination of your access and legal action.

Feedback you provide about the Services becomes our property, and you assign all rights therein to us without compensation.

6. Payments and Rewards

The Services are currently provided free of charge to Business Users, with no setup fees, monthly subscriptions, or upfront costs. Business Users are only obligated to pay rewards to affiliates when a verified new customer is acquired through an affiliate link, as per the terms set by the Business User.

We do not process payments or hold funds. All reward disbursements are handled directly between Business Users and affiliates. You agree that we bear no responsibility for payment disputes, non-payment, or related issues.

We reserve the right to introduce fees, commissions, or monetization models in the future, with notice via the Site or email. Your continued use after such changes constitutes acceptance.

All transactions must comply with applicable payment laws, and you are responsible for any associated taxes or fees.

7. Prohibited Conduct

In addition to restrictions in Section 3, you may not use the Services to:

• Engage in spamming, unsolicited marketing, or pyramid schemes;
• Promote competing businesses in violation of our sub-category rules;
• Submit false, misleading, or manipulated reviews;
• Harass, threaten, or impersonate others;
• Violate privacy rights or disclose confidential information;
• Introduce viruses, malware, or harmful code.

Violation of this section may result in immediate termination, legal action, and reporting to authorities.

8. Termination

We may terminate or suspend your access to the Services at any time, without notice or liability, for any reason, including suspected breach of this EULA. Upon termination, your license ends, and you must cease all use. Sections that by nature survive termination (e.g., IP, disclaimers, liability limitations) shall remain in effect.

You may terminate your account at any time, but obligations accrued prior (e.g., pending rewards) remain your responsibility.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES.

WE MAKE NO REPRESENTATIONS REGARDING THE QUALITY, ACCURACY, OR EFFECTIVENESS OF USER CONTENT, REVIEWS, OR AFFILIATE PERFORMANCE. USE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THIS EULA OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $10 (TEN U.S. DOLLARS), WHICHEVER IS LESS. THIS LIMITATION APPLIES REGARDLESS OF LEGAL THEORY (CONTRACT, TORT, ETC.).

11. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, agents, and licensors from and against all claims, losses, damages, expenses, and liabilities (including reasonable attorneys' fees) arising from: (i) your use of the Services; (ii) your User Content; (iii) your violation of this EULA or applicable laws; (iv) disputes with affiliates or customers; or (v) any third-party claims related to your business activities.

This indemnification obligation survives termination of this EULA.

12. Governing Law and Dispute Resolution

This EULA shall be governed by the laws of [Your Preferred Jurisdiction, e.g., the State of Israel], without regard to conflict of laws principles. Any disputes arising hereunder shall be resolved exclusively in the courts located in [e.g., Jerusalem, Israel]. You consent to personal jurisdiction and venue therein.

You waive any right to a jury trial and agree that disputes shall be resolved individually, without class actions or representative proceedings.

13. Miscellaneous

• Severability: If any provision is held invalid, the remainder shall remain enforceable.
• Waiver: No waiver of any term shall be deemed a further or continuing waiver.
• Assignment: We may assign this EULA without your consent; you may not assign without our written approval.
• Force Majeure: We are not liable for delays due to events beyond our control.
• Entire Agreement: This EULA constitutes the entire agreement, superseding all prior understandings.
• Notices: Notices to us shall be sent via email to support@try-my-guy.com; notices to you via email or the Site.
• No Third-Party Beneficiaries: This EULA is solely between you and us.
